1. Acceptance of Terms

By accessing, browsing, or using the website, mobile application, services, products, or any platform operated by First Permissionless Banc (“FPB,” “we,” “us,” or “our”), including but not limited to submitting any application, form, inquiry, registration, or communication through our platforms (collectively, the “Services”), you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Services.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.

3. Information Collection & Use

By submitting any information through our Services — including but not limited to your name, email address, phone number, mailing address, location, employment history, curriculum vitae, résumé, professional credentials, wallet address, device identifiers, IP address, browser information, and any other personal or professional data (collectively, “Submitted Information”) — you expressly and unambiguously consent to the collection, storage, processing, use, transfer, and disclosure of such information by FPB, its parent companies, subsidiaries, affiliates, successors, assigns, and any third-party service providers, business partners, contractors, agents, consultants, advisors, and vendors acting on our behalf or in connection with the Services.

Submitted Information may be used for any lawful purpose, including but not limited to:

• Evaluating your application, inquiry, or request
• Providing, maintaining, improving, and personalizing the Services
• Communicating with you regarding your application, account, or the Services
• Marketing, advertising, and promotional purposes
• Sharing with our business partners, affiliates, and service providers for their own marketing, analytical, or operational purposes
• Research, analytics, and statistical analysis
• Compliance with legal obligations, law enforcement requests, and regulatory requirements
• Fraud prevention, security, and risk management
• Any other purpose disclosed at the time of collection or as otherwise permitted by applicable law

4. Consent to Communications

By providing your contact information through any of our Services, you expressly consent to receive communications from FPB and/or its affiliates, subsidiaries, parent companies, successors, assigns, service providers, contractors, agents, business partners, sponsors, advertisers, and any other third parties with whom FPB shares information (collectively, “Authorized Parties”), through any and all means of communication, including but not limited to:

• Email (including marketing, transactional, informational, and promotional emails)
• Telephone calls (including live calls, prerecorded/artificial voice calls, and calls made using automatic telephone dialing systems)
• SMS/MMS text messages (including marketing and transactional messages; standard message and data rates may apply)
• Push notifications via mobile applications
• In-app messages and alerts
• Direct mail and physical correspondence
• Social media messages and advertisements
• Fax communications
• Any other electronic or physical communication method now known or hereafter developed

This consent applies to the phone number(s), email address(es), mailing address(es), and any other contact information you provide, even if such number or address is registered on any federal, state, or international Do Not Call, Do Not Email, or similar registry. You acknowledge that your consent is not a condition of purchasing any goods or services, but is a condition of submitting information through our platforms.

You may opt out of receiving marketing communications at any time by following the unsubscribe instructions in any marketing email, by replying STOP to any SMS message, or by contacting us at privacy@fpbanc.com. However, you agree that opting out of marketing communications does not affect our ability to send you transactional, service-related, legal, or regulatory communications.

5. Data Sharing & Third-Party Disclosure

You acknowledge and agree that FPB may share, sell, license, rent, transfer, or otherwise disclose your Submitted Information to third parties, including but not limited to:

• Affiliated companies and subsidiaries within the FPB corporate family
• Service providers who perform services on our behalf (e.g., cloud hosting, analytics, email delivery, customer support, payment processing)
• Business partners, co-marketing partners, sponsors, and advertisers
• Recruitment agencies, background check providers, and employment verification services
• Financial institutions, banking partners, and payment processors
• Data aggregators, data brokers, and marketing platforms
• Professional advisors, auditors, and consultants
• Government agencies, regulators, and law enforcement (as required or permitted by law)
• Any acquirer, successor, or assignee in connection with a merger, acquisition, reorganization, asset sale, or similar transaction

Such third parties may use your information for their own purposes, including marketing, analytics, and service delivery, subject to their own privacy policies and terms.

6. Data Retention

FPB retains Submitted Information for as long as reasonably necessary to fulfill the purposes for which it was collected, to comply with legal obligations, to resolve disputes, to enforce our agreements, and for any other lawful purpose. You acknowledge that even after you request deletion of your information, copies may persist in backup systems, logs, or as required by law.

7. International Data Transfers

Your Submitted Information may be transferred to, stored in, and processed in any country where FPB or its Authorized Parties maintain facilities, including countries that may not provide the same level of data protection as your country of residence. By submitting your information, you consent to such international transfers.

8. Intellectual Property

All content on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilations, is the property of FPB or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use any content without prior written consent from FPB.

9. User Representations

By using the Services or submitting any information, you represent and warrant that:

• All information you provide is true, accurate, current, and complete
• You have the legal right and authority to provide such information
• Your use of the Services does not violate any applicable law, regulation, or third-party rights
• You will not use the Services for any unlawful, fraudulent, or unauthorized purpose
• Any documents you upload (including CVs, résumés, and supporting materials) are authentic and do not infringe any third-party intellectual property rights

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FPB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF FPB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless FPB and its Authorized Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in New York, New York, USA. You agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law provisions.

14. Modifications

FPB reserves the right to modify, update, or revise these Terms at any time without prior notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and FPB regarding your use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
